Terms of Service
Effective October 16, 2026 · [company legal name]
1. Who we are
YourGuard (the "Service", at https://app.guardrc.com) is provided by [company legal name], [company address] ("we", "us"). These Terms are an agreement between us and the company that signs up for the Service ("Customer", "you"). The person who accepts them on the Customer's behalf confirms they may bind the Customer.
2. What the Service does — and does not
The Service examines rate confirmations and the emails, files and links that carry them, and reports risk signals: whether the broker's authority, contacts and documents match public records, whether the sender, links or attachments show signs of fraud or malware, and whether the terms or payment details differ from earlier loads. Each signal says what was seen and where it came from.
The Service is a tool to help your people decide; it is not a guarantee. A green result means no risk signal was found by the checks that could run, not that a load, a broker or a payment is safe. A check that could not run is shown as not checked. You remain responsible for verifying brokers (for example, by calling the phone number FMCSA lists), for your booking and payment decisions, and for the loads you haul.
Public and third-party sources the Service relies on — FMCSA records, Google, MalwareBazaar and others — may be incomplete, late or wrong. We do not control them.
3. Accounts
Your administrator signs in with a work Microsoft account; people of your organization who sign in join your account. Connection keys and Telegram links act for your account: keep them confidential and revoke them when no longer needed. You are responsible for activity under your account, and you will tell us promptly at [contact email] if you believe it has been misused.
4. Subscription and payment
- The Service is billed monthly per truck, in advance, through Stripe, at the price shown at checkout. The subscription renews each month until cancelled.
- You can change the number of trucks, your card, or cancel at any time in the billing portal. Cancellation takes effect at the end of the paid month; fees already paid are not refunded, except where the law requires.
- If a payment fails, the Service keeps working for a grace period (currently 7 days) while the payment is retried, and is then paused until paid. A paused or cancelled account receives no checks.
- Prices may change with at least 30 days' notice; the new price applies from the next billing month after the notice.
- Fees exclude taxes, which you pay where they apply.
5. Your data
You own what you send to the Service — emails, rate confirmations, attachments — and what is read from it ("Customer Data"). You give us the right to process Customer Data only to provide, secure and improve the Service, as the Privacy Policy describes. You confirm you are entitled to send it to us.
Network signals. To detect the same load offered by different brokers, the Service compares a few facts of each load — pickup date and facility addresses, and the broker's MC number — across all customers. Another customer may see that such a load was also offered elsewhere by another broker; they never see your documents, rates, company name or contacts. Fraud reports by your team stay within your account.
6. Acceptable use
You will not: use the Service to break the law or to harass anyone; send content you have no right to send; try to break, overload, probe or bypass its security or limits; copy, resell or build a competing service from it; or access it other than through the interfaces we provide.
7. Availability and changes
We aim to keep the Service available and to fix problems promptly, but it is provided without a guaranteed uptime. We may change or improve features; if we remove one you rely on materially, you may cancel and we will refund any prepaid fees for the unused period.
8. Confidentiality and security
We keep Customer Data confidential, protect it with reasonable technical and organizational measures, and give access only to people and providers who need it to run the Service. Details are in the Privacy Policy.
9. Disclaimer
Except as these Terms state, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and any warranty that the Service will detect every fraud, error or threat.
10. Limitation of liability
To the extent the law allows: neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, loads, or data, even if advised of the possibility; and our total liability arising from these Terms or the Service is limited to the fees you paid us in the 12 months before the claim. These limits do not apply to a party's fraud or wilful misconduct, or to your payment obligations.
11. Indemnity
You will defend and hold us harmless against third-party claims arising from Customer Data you had no right to send, or from your breach of section 6.
12. Term and termination
These Terms apply while you use the Service. Either party may end them by cancelling the subscription. We may suspend or end access for non-payment (section 4) or for a serious breach of these Terms, with notice where practical. After the subscription ends, Customer Data is deleted as the Privacy Policy describes; you may ask for earlier deletion.
13. Changes to these Terms
We may update these Terms. We will give at least 30 days' notice of material changes by email or in the Service; continuing to use the Service after they take effect means accepting them. If you do not agree, you may cancel before then.
14. Governing law
These Terms are governed by the laws of the State of [state], without regard to its conflict-of-laws rules. The state and federal courts located in [state] have exclusive jurisdiction over any dispute arising from them.
